By submitting an enquiry, accepting a service proposal, or paying for a Service, you agree to be bound by these Terms. You represent that you are at least 18 years of age and have the authority to enter into this Agreement on behalf of yourself or the organisation you represent.

Numen Works provides developer enablement services in the area of machine learning operations (MLOps), including:

Services are available to clients based in Malaysia. Remote delivery is available to clients outside Malaysia by prior agreement.

5. Intellectual Property

Numen Works retains ownership of all underlying methodology, training materials, and template structures used in delivering Services. Clients are granted a non-exclusive, non-transferable licence to use Deliverables for their own internal purposes.

Any pre-existing client code or systems shared during an engagement remain the property of the client. We make no claim over client-provided materials.

6. Payment Terms

All prices are in Malaysian Ringgit (MYR) inclusive of applicable taxes unless otherwise stated. Current pricing:

Workshop fees are payable in full prior to the first session. Coaching and advisory fees are invoiced at the commencement of the engagement. Payment is due within 14 days of invoice.

Cancellation: Cancellation more than 7 business days before commencement: full refund minus a 10% administration charge. Cancellation within 7 business days: 50% refund. Cancellation after commencement: no refund for completed sessions.

7. Delivery Terms

Session scheduling is agreed between parties prior to engagement commencement. Numen Works will make reasonable efforts to deliver sessions on agreed dates. If Numen Works must reschedule, an alternative date within 10 business days will be offered at no extra charge.

Deliverables (templates, reference pipelines, handbooks) will be provided in digital format via agreed file-sharing means within 5 business days of the relevant session or engagement completion.

8. Confidentiality

Both parties agree to keep confidential any non-public information disclosed by the other party in connection with the Service. This obligation survives termination of the Agreement for a period of two years. A mutual confidentiality agreement can be signed in addition to these Terms upon request.

9. Disclaimers

Services are provided in good faith based on information available and shared during the engagement. Numen Works does not warrant that any specific operational outcome, performance improvement, or business result will be achieved by following the guidance provided. All recommendations are advisory in nature.

Deliverables are provided as reference materials. Clients are responsible for reviewing and adapting them to their specific technical and organisational context before use in production systems.

10. Limitation of Liability

To the extent permitted by Malaysian law, Numen Works' total liability for any claim arising under this Agreement shall not exceed the fees paid by the Client for the specific Service giving rise to the claim.

Numen Works is not liable for indirect, incidental, or consequential damages, including loss of data, loss of profits, or business interruption, even if advised of the possibility of such damages.

Force majeure: Neither party is liable for delays or failure to perform caused by circumstances beyond reasonable control, including natural events, utility failures, or government actions.

11. Indemnification

The Client agrees to indemnify and hold harmless Numen Works and its team members from any claims, losses, or expenses (including reasonable legal fees) arising from the Client's misuse of Deliverables, breach of these Terms, or infringement of third-party rights.

12. Termination

Either party may terminate the Agreement by written notice if the other party materially breaches the Agreement and fails to remedy the breach within 14 days of written notice.

On termination, Clients retain the right to use Deliverables produced up to the termination date. Confidentiality obligations and IP provisions survive termination.

13. Dispute Resolution

These Terms are governed by the laws of Malaysia. Both parties agree to attempt to resolve disputes informally by written communication before commencing formal proceedings.

If informal resolution is not achieved within 30 days, disputes shall be referred to mediation under the Asian International Arbitration Centre (AIAC) rules, or otherwise submitted to the jurisdiction of the courts of Malaysia.

15. Changes to These Terms

We may update these Terms from time to time. Updated terms will be posted on this page with a revised effective date. For active engagements, changes take effect at the start of the next billing or service period.
